End-User License Agreement (EULA) for NMOS Service

IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THE INSTALLATION OF THIS SOFTWARE.

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and DELTACAST.TV sa for the NMOS Service, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Definitions

"Software" refers to the NMOS Service, including any associated media, printed materials, and electronic documentation.

"You" refers to the individual or entity using the Software.

"Use" means to install, access, or otherwise benefit from the Software in accordance with the documentation.

2. License Grant

DELTACAST.TV sa grants you a non-exclusive, non-transferable license to use the Software on your computer system(s) in accordance with the terms of this EULA.

3. Installation and Use

You may install and use the Software on a single computer. If this Software is part of a multi-user environment, you may install and use the Software on multiple computers, provided that each individual user agrees to the terms of this EULA.

4. Restrictions

You may not:

- Copy, modify, or distribute the Software, except as permitted by this EULA.
- Reverse engineer, decompile, or disassemble the Software.
- Remove or alter any proprietary notices or labels on the Software.
- Rent, lease, or lend the Software.

5. Ownership

The Software is licensed, not sold. DELTACAST.TV sa retains all rights, title, and interest in and to the Software, including all intellectual property rights therein.

6. Updates and Maintenance

DELTACAST.TV sa may provide updates, enhancements, or modifications to the Software at its discretion. Such updates shall be subject to the terms of this EULA unless accompanied by a separate license agreement.

7. Support Services

DELTACAST.TV sa may provide you with support services related to the Software. Any supplemental software code provided to you as part of the support services shall be considered part of the Software and subject to the terms of this EULA.

8. Termination

This EULA will terminate automatically if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DELTACAST.TV sa DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL DELTACAST.TV sa BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, EVEN IF DELTACAST.TV sa HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Belgium.

12. Specific Restrictions for Critical Medical Applications

The Software is not designed, licensed, or intended for use in hazardous environments requiring fail-safe performance, such as, without limitation, the design, construction, maintenance, or operation of nuclear facilities, aircraft communication systems, air traffic control systems, direct life support machines, or any other application in which the failure of the Software could lead to death, personal injury, or severe physical or environmental damage. Any unauthorized use of this type is strictly prohibited and is at the user's sole risk.

13. Third-Party Software

The Software may include third-party software subject to separate license terms. Use of third-party software is subject to those terms.

14.  Feedback Clause

You may provide feedback to DELTACAST.TV sa regarding the Software. By providing feedback, you grant DELTACAST.TV sa a perpetual, non-exclusive, worldwide, irrevocable license to use, reproduce, modify, license, sublicense, and distribute the feedback without any royalties or fees.

15. Entire Agreement

This EULA constitutes the entire agreement between you and DELTACAST.TV sa with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
